By accessing or using the Magnet Labs platform, you agree to comply with and be bound by these Terms, including any additional terms, conditions, or policies that may apply to specific features or services. If you do not agree to these Terms, you may not access or use the Service.

Services Provided

Magnet Labs provides CatalogIQ, a SaaS platform for ecommerce product catalog quality scoring and product content enrichment. You may access and use these services in accordance with these Terms and any applicable subscription agreement.

Eligibility

You must meet the minimum age requirement under applicable law in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet all applicable eligibility criteria and have the authority to enter into these Terms on behalf of yourself or your organization.

Account Registration

To use certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

License to Use the Service

Subject to these Terms, Magnet Labs grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

User Obligations

You agree not to use the Service in any manner that:

• Uploads, transmits, or distributes viruses, malware, or other harmful code

Subscription and Payment

• Magnet Labs reserves the right to change subscription fees with reasonable prior notice
• Failure to pay applicable fees may result in suspension or termination of your access to the Service

Intellectual Property

Magnet Labs owns all rights, title, and interest in and to the Service, including all associated intellectual property rights — software, algorithms, methodologies, trademarks, and content. Your use of the Service does not grant you any ownership of any intellectual property.

Enriched catalog content produced through the Service on your behalf, using your product data, is owned by you as specified in your applicable service agreement.

Termination

Magnet Labs may suspend or terminate your access to the Service at any time, with or without prior notice, if we reasonably believe you have violated these Terms or engaged in conduct harmful to other users or the Service.

You may also terminate your account at any time by contacting us at support@magnetlabs.ai. Upon termination, all rights granted to you under these Terms will immediately cease.

Disclaimers

Limitation of Liability

To the maximum extent permitted by applicable law, Magnet Labs and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunity — arising from your use of or inability to use the Service, even if Magnet Labs has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Magnet Labs, its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or relating to your use of the Service or your violation of these Terms.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration or mediation as mutually agreed upon by the parties. You agree to submit to the jurisdiction of the applicable courts in Delaware for any matters not subject to arbitration.

Modifications to Terms

Magnet Labs reserves the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on our website with a new "Last Updated" date. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree with a modification, your sole remedy is to discontinue use of the Service.
